General Terms of Business

1. Scope and acceptance

These General Terms of Business apply to professional services supplied by The Buzz Company BV, trading as Kryptonite Agency, where they are expressly incorporated in a proposal, statement of work, order confirmation or written agreement, or otherwise validly accepted by the parties. They are intended for business-to-business engagements only. Any client terms apply only if expressly accepted in writing by The Buzz Company BV.

2. Proposals and scope of work

Proposals describe the intended scope, deliverables, assumptions, timeline and fees. A project starts only after written acceptance, unless the parties agree otherwise in writing. Any work outside the agreed scope may be quoted separately or performed at the rates agreed between the parties.

3. Client cooperation

The client remains responsible for supplying timely, accurate and complete input, approvals, access rights, brand materials, data and internal decisions required for delivery. Timelines may be adjusted where client feedback, approvals or third-party dependencies are delayed.

4. Fees, invoicing and payment

Fees, payment milestones, expenses and VAT treatment are set out in the applicable proposal or agreement. Unless otherwise agreed in writing, invoices are payable within the period stated on the invoice. Late-payment consequences, including statutory interest and recovery costs where applicable, remain without prejudice to The Buzz Company BV's other rights.

5. Deliverables, third parties and results

The Buzz Company BV may use qualified independent specialists, technology providers and subcontractors where appropriate for the agreed scope, while remaining the client's contractual point of contact unless otherwise agreed. Marketing, growth, commercial and technology work depends on multiple external factors; no specific revenue, lead volume, ranking, conversion or business outcome is guaranteed unless expressly stated in writing.

6. Intellectual property

Each party retains ownership of its pre-existing materials, tools, know-how, methods and intellectual property. Subject to full payment, the client receives the usage rights expressly stated in the applicable proposal or agreement for final client-specific deliverables. Internal methodologies, reusable frameworks, templates, code libraries, prompts, tooling, strategy models and know-how remain the property of The Buzz Company BV or its licensors unless expressly agreed otherwise.

7. Confidentiality

Each party shall keep non-public business, commercial and technical information received from the other party confidential and use it only for the agreed collaboration, except where disclosure is required by law or the information is already lawfully public.

8. Liability

To the maximum extent permitted by applicable law, The Buzz Company BV's liability in connection with a specific engagement is limited to direct damage proven to result from its contractual breach and capped at the fees actually paid by the client for the specific services giving rise to the claim. The Buzz Company BV is not liable for indirect or consequential loss, loss of profit, loss of data, loss of opportunity, reputational damage or third-party actions, except where liability cannot lawfully be excluded or limited.

9. Suspension and termination

The Buzz Company BV may suspend work where undisputed invoices remain unpaid, required client input is not provided, or continuing the work would create a legal, ethical, security or reputational concern. Either party may terminate an ongoing engagement in accordance with the applicable proposal or agreement. Work performed, committed third-party costs and approved expenses remain payable up to the effective termination date.

10. Governing law and disputes

Belgian law applies. Any dispute arising from or connected with an engagement shall be submitted to the competent courts of the judicial district in which The Buzz Company BV has its registered office, unless mandatory law provides otherwise.
